Terms of Service

These Terms of Service ("Terms") govern the use of the services provided by CreatorFlow ("CreatorFlow," "we," "us") by the business purchasing a subscription plan ("Client," "you"). By purchasing a plan you agree to these Terms.
1. The Service
CreatorFlow operates a done-for-you UGC creator pipeline. Each monthly plan includes:
- Paid recruitment advertising targeting UGC creators in the Client's niche (advertising spend included in the plan price);
- Screening and approval of creator applicants (audience quality, content style, red-flag checks);
- A branded creator brief (hooks, angles, do/don't list), created at onboarding and iterated monthly;
- A shipping list delivered to the Client (creator name, address, handle, product to send);
- A 30-day automated follow-up sequence per creator, starting when the Client marks the creator as shipped;
- Post tracking (platform, URL, view count at report date);
- A monthly report covering every approved creator, status, post links, views, and cost per posted video;
- Replacement of non-posting creators from the monthly approval quota;
- Content usage rights as described in Section 4.
2. What is not included
- Per-video quality control and revision management (available as a paid add-on at $600/month);
- Management of the Client's own advertising accounts;
- Product and shipping costs — the Client purchases and ships its own products to creators at its own expense.
3. Plans, term and payment
- Plans are billed monthly in advance via Stripe.
- Minimum commitment: three (3) monthly billing cycles. After the third cycle, the subscription may be cancelled at any time effective at the end of the current billing cycle.
- All payments are final and non-refundable, as detailed in the Refund Policy. Recruitment advertising, media budget and screening hours are deployed on the Client's behalf immediately after payment.
- "Approved creator" means a creator profile screened, approved and briefed during that month, whether or not the creator ultimately posts.
4. Content and usage rights
- Creators publish content organically on their own social channels.
- The creator brief includes a usage-rights grant under which the creator, as a condition of receiving the product, grants the Client a perpetual, worldwide, royalty-free license to use, reproduce, edit and distribute the resulting content for the Client's commercial and marketing purposes, including paid advertising and allowlisting/whitelisting.
- The Client is responsible for complying with applicable advertising disclosure rules when re-using content (e.g., FTC endorsement guides, platform branded-content policies).
5. Performance: the posted-video floor (and what is not guaranteed)
Nobody can honestly guarantee that a specific gifted creator will post, or that content will achieve any particular views, engagement or return on ad spend — and we don't. No projections, examples or industry statistics constitute a promise of results.
What we do guarantee is a monthly posted-video floor: Launch — 15, Growth — 35, Scale — 70 posted videos per calendar month (measured from the second full month of service, when the pipeline is flowing). If a month closes under the floor, CreatorFlow continues recruiting, briefing and replacing creators for that Client at its own cost, beyond the monthly quota if needed, until the shortfall is closed. The floor remedy is additional service — it does not create a right to a refund.
6. Client responsibilities
- Ship products to approved creators within 7 days of receiving the shipping list, and mark shipments in the tracking sheet;
- Provide accurate onboarding information (intake form) and reasonable availability for the kickoff call;
- Ensure its products are lawful, safe and accurately described.
Delays in shipping or onboarding shift delivery timelines but do not pause billing.
7. Independent contractors
Creators are independent third parties, not employees or agents of CreatorFlow or of the Client. CreatorFlow does not control and is not responsible for creators' statements or conduct, though it screens profiles and provides creators with the Client's do/don't brief.
8. Limitation of liability
To the maximum extent permitted by law, CreatorFlow's aggregate liability arising out of or related to the service is limited to the amounts paid by the Client in the three (3) months preceding the claim. CreatorFlow is not liable for indirect, incidental, special or consequential damages, lost profits, or the acts or omissions of creators or advertising platforms.
9. Indemnification
The Client will indemnify CreatorFlow against third-party claims arising from the Client's products, the Client's use of creator content in violation of Section 4, or the Client's breach of these Terms.
10. Termination
We may suspend or terminate the service for non-payment or material breach. Sections 4, 5, 8, 9 and 11 survive termination.
11. General
These Terms are the entire agreement between the parties regarding the service. We may update these Terms with notice; continued use after notice constitutes acceptance. If any provision is unenforceable, the remainder stays in effect.
